The Kbis extract is the identity card of a company registered in the French trade and companies register. It gives its name, registered office, capital, activity and the names of its managers. Outside France, this document, like the articles of association and the meeting minutes that often go with it, only takes effect once translated by a certified translator. Its closest equivalents are a Companies House certificate in the UK or a certificate of good standing in the United States.

Why a company has its corporate documents translated

Opening a subsidiary or branch abroad, registering a secondary establishment, opening a business bank account, answering a public tender or signing with a distributor: at each of these steps the foreign authority or partner wants to check that the company exists and who can bind it.

The reverse is just as common. A foreign company setting up a subsidiary in France, or winning a contract there, presents to the registry, the bank or the public buyer the foreign equivalent of the Kbis, its articles and the decision appointing its representative, translated into French.

Kbis, articles, minutes: what is translated

For the Kbis extract, the translator renders the issuing registry, the registration number and SIREN, the legal form, the capital, the registered office, the activity, the start date, the managers and their roles, and the issue date. The registry's verification code is flagged.

Articles of association are translated article by article, numbering included: corporate purpose, share capital, powers of the president or manager, voting rules. Meeting minutes keep the quorum, agenda, each resolution and vote. Company forms (SAS, SARL, SA) are kept and explained in square brackets.

Documents to supply and common mistakes

Provide a recent Kbis: many banks and buyers want it dated less than three months ago. The PDF issued online by the registry is fine. For the articles, send the latest up-to-date version certified by the manager, not the founding one if the capital or the office has changed since.

If the step concerns one particular decision, such as appointing a director or opening an account, only the relevant minutes are often needed.

A Kbis extract takes one or two pages, so €30 to €60. Articles of a simplified joint-stock company often run to eight to fifteen pages, €240 to €450; meeting minutes take two to four pages, €60 to €120.

Questions about translating your company registration extract and articles

Can a company extract older than three months be translated?

It can, but most banks, foreign registries and public buyers require an extract less than three months old when it is filed. Order a recent extract from the registry before starting the translation: it costs a few euros and saves you paying for the translation twice.

Do the articles of association have to be translated in full?

Most often yes, because a partner or foreign authority wants to know the corporate purpose, the capital and the directors' powers, which are spread over several articles. Some banks accept a partial translation limited to a few articles. In that case get it confirmed in writing and list the articles chosen when ordering.

Do you translate minutes of general meetings?

Yes. Minutes of a shareholders' meeting, a board meeting or a sole shareholder's decision are translated in full: date, place, attendees, quorum, agenda, text of the resolutions and voting results. Signatures and certified-true-copy mentions are described, so the document can be used before a foreign authority.

Is the company name translated?

No. The registered name, the trading name and the signs stay as registered, because they are proper names. Only the legal form may receive an explanation in square brackets, for example to specify that a SAS is a French simplified joint-stock company with no exact equivalent elsewhere.
